Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Quote Builder CRM Card (the "Service"), provided by AdviVest Intelligent ("AdviVest," "we," "us," or "our"). By installing, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, do not install or use the Service.

2. Description of Service

Quote Builder CRM Card is a HubSpot Marketplace application that adds a quote creation workflow directly inside HubSpot Deal records, using HubSpot UI Extensions. The Service allows users to build, preview, publish, and manage quotes as native HubSpot Quote objects, associated with the relevant Deal, Company, and Contact records.

3. HubSpot Account & Authorization

The Service requires a HubSpot account and is installed via HubSpot's OAuth authorization flow. By installing the Service, you authorize AdviVest to access and modify certain HubSpot data on your behalf, limited to the scopes described in our data disclosures. You may revoke this authorization at any time from your HubSpot account's Connected Apps settings.

The Service is an independent application and is not affiliated with, endorsed by, or sponsored by HubSpot, Inc. "HubSpot" is a registered trademark of HubSpot, Inc.

4. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the security of your HubSpot account credentials and for all activity that occurs through your authorized connection to the Service.

5. Acceptable Use

You agree not to:

• Use the Service in violation of any applicable law or HubSpot's own terms of service or Marketplace policies;
• Attempt to gain unauthorized access to the Service, other users' data, or the systems supporting the Service;
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
• Use the Service to transmit malicious code or to interfere with the integrity or performance of the Service or HubSpot's platform;
• Resell, sublicense, or provide the Service to third parties without our prior written consent.

6. Fees & Subscription Tiers

The core Service has a Free Plan and various paid tiers as described on our Pricing page. Fees for HubSpot subscriptions are set and billed by HubSpot directly and are not controlled by AdviVest. Paid tiers of the Service itself are billed in accordance with the terms presented to you before subscription purchase.

7. Your Data & Content

You retain all rights to the data stored in your HubSpot account, including quotes, line items, and associated records created through the Service ("Your Data"). We access Your Data only as necessary to provide the Service, as described in our Privacy Policy. You are responsible for the accuracy and legality of Your Data.

8. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by AdviVest Intelligent and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9. Third-Party Services

The Service integrates with and depends on HubSpot's platform and may use third-party infrastructure providers (such as hosting and data-storage providers) to operate. We are not responsible for the availability, performance, or policies of these third-party services, which are governed by their own terms.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

To the maximum extent permitted by law, AdviVest Intelligent will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service. Our total aggregate liability arising out of these Terms or the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless AdviVest Intelligent and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service or your violation of these Terms.

13. Termination

You may stop using the Service at any time by uninstalling it or revoking its HubSpot authorization. We may suspend or terminate your access to the Service if you violate these Terms, or discontinue the Service at our discretion with reasonable notice where practicable. Upon termination, the license granted to you under these Terms ends, though data-handling obligations described in our Privacy Policy continue to apply.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date below. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.
